Oman's Income Tax Law sets out a special regime for small establishments, applied to establishments whose capital does not exceed OMR 50,000, whose gross income does not exceed OMR 100,000, and whose average number of employees does not exceed 15, taxing them at a rate of 3% of their taxable income.

Conditions for Qualifying Under the Small Establishments Regime

The law provides that the special provisions for establishments apply to establishments whose activity is limited to commercial, industrial, craft or service activity (excluding certain activities such as sea and air transport, banking, insurance and the extraction of natural resources), together with three cumulative numerical conditions:

The Tax Rate on Small Establishments

The law provides that the tax on these establishments is calculated by applying a rate of 3% to the taxable income for any tax year, a rate substantially lower than the general corporate income tax rate of 15%.

Cases of Full Exemption from This Rate

The law expressly excludes two cases from the 3% rate: establishments whose owner or one of its partners devotes themselves entirely to managing it, and establishments that employ at least two Omani nationals, meaning these are fully exempt from this special chapter.

The Effect of Exceeding the Conditions

If an event occurs causing any of these conditions to no longer be met during any accounting period, the establishment must notify the Tax Authority within 15 days of the date the event occurred, after which the general income tax provisions apply to it starting from the following tax year.

Why This Regime Matters for Small Business Owners

This special chapter of the Income Tax Law gives establishments that jointly meet its three conditions (capital, gross income and number of employees) a lighter tax treatment than the general rate of 15% applied to other companies, and may even fully exempt them from the tax if their owner devotes themselves entirely to managing them or if they employ Omanis in the number the law specifies. Knowing these numerical conditions precisely, and monitoring that they are not exceeded during the tax year, is therefore essential for small establishments wishing to benefit from this regime, particularly since the three conditions (capital, gross income, and number of employees) must all be met together rather than alternatively, so failing to meet even one of them alone is enough to take the establishment out of this special chapter and subject it to the general corporate income tax provisions.
